1. Agreement to Terms

By accessing or using Profit Wizard ("Service", "Platform", "we", "us", or "our"), operated by Profit Wizard ("Company"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

2. Description of Service

Profit Wizard is a cloud-based software platform designed to help home service companies manage their pricing, calculate overhead costs, maintain profit margins, and automate price book updates. The Service includes:

• Automated overhead calculation and cost-per-billable-hour computation
• Price book management and automated updates
• Integration with accounting software (QuickBooks) and CRM systems
• Financial forecasting and margin analysis tools
• Dashboard and reporting features
• Mobile applications and related services

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Ensure that you are authorized to bind your company to these Terms

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to comply with this section.

4. Subscription and Payment

Subscription Plans: The Service is offered on a subscription basis. We offer various subscription plans with different features and pricing. Current pricing and plan details are available on our website.

Payment Terms: Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

Price Changes: We reserve the right to modify subscription fees at any time. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial billing periods.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others
• Upload, transmit, or distribute any computer viruses, worms, or malicious code
• Attempt to gain unauthorized access to the Service or related systems

• Use the Service to store or transmit illegal, harmful, or offensive content
• Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to suspend or terminate your account immediately if you violate this Acceptable Use Policy.

We are not responsible for the availability, accuracy, or content of third-party services. You are solely responsible for ensuring that you have the right to authorize us to access your accounts with third-party services.

8. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Profit Wizard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.

9. Disclaimers

Service Provided "As Is": The Service is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Financial Advice: The Service provides tools and calculations for informational purposes only. It does not constitute financial, accounting, legal, or tax advice. You should consult with qualified professionals regarding financial decisions.

No Guarantee of Results: While we strive to provide accurate calculations and recommendations, we do not guarantee specific business outcomes or profit margins. Actual results may vary based on numerous factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Profit Wizard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.

11. Indemnification

You agree to defend, indemnify, and hold harmless Profit Wizard and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party right.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your account and data after termination. You may terminate your account at any time by canceling your subscription.

All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of competent jurisdiction in the United States.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
